Acceptance of terms

By accessing or using blackcanyonexterior.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated here by reference. If you do not agree with any part of these Terms, you must stop using the Site immediately.

These Terms govern your access to and use of the Site only. They do not govern the performance of any exterior-services work, which is covered by a separate signed work order or contract for each project.

Eligibility

You must be at least 18 years of age to use this Site or submit a quote request. By using the Site, you represent that you are 18 or older and that you have the legal authority to act on behalf of the property or organization for which you are requesting services. If you are submitting a request on behalf of a commercial property, business, or HOA, you represent that you are authorized to bind that entity to any resulting service agreement.

Description of service

Blackcanyonexterior.com is an informational and lead-capture website for Black Canyon Exteriors, a Utah exterior-services contractor. The Site provides:

• Information about our service lines, service area, and process
• The ability to submit a quote request or inquiry
• Downloadable educational guides (lead magnets) in exchange for contact information
• Contact information and a phone number to reach us directly

A quote request submitted through this Site is not a contract for work. It is an expression of interest that initiates our follow-up process. No service obligation exists on either party’s part until a written estimate has been presented, reviewed, and a signed work order executed by both parties. Content on this Site describing our services, process, or typical scope is informational and does not constitute a binding commitment to perform any specific work at any specific price.

Account and form submissions

This Site does not currently offer user accounts. When you submit a form, you are providing information directly to us for the purpose described on that form. You agree that:

• All information you provide is accurate, current, and complete to the best of your knowledge.
• You will not impersonate another person or entity, or submit a form on behalf of someone who has not authorized you to do so.
• You will not submit fictitious, fraudulent, or harassing requests.

We reserve the right to decline to respond to, or follow up on, any submission at our discretion, without obligation to provide a reason. This includes but is not limited to submissions that appear fraudulent, are outside our service area or scope, or are submitted in apparent bad faith.

Prohibited use

You agree not to use the Site for any of the following purposes:

• Automated scraping: Using bots, crawlers, or automated scripts to extract content, pricing data, or contact information from the Site in bulk.
• Automated form submissions: Submitting forms using bots, scripts, or any mechanism other than direct human interaction.

• Property size, accessibility, and condition
• Material specifications chosen by the customer
• Current material and labor market conditions
• Scope complexity discovered during the on-site walk
• Required permitting or utility coordination

A binding quote is delivered as a written, itemized estimate following an on-site assessment. That estimate remains valid for the period stated on its face (typically 30 days). A project commences only upon execution of a signed work order that references the estimate. No promotional language, testimonial, or case-study figure on this Site creates an obligation to perform work at any price.

Intellectual property

All content on this Site — including but not limited to text, photographs, graphics, logos, service descriptions, guides, and page layouts — is the property of Black Canyon Exteriors or used under license, and is protected by United States copyright law and applicable intellectual property statutes.

We grant you a limited, non-exclusive, non-transferable license to view and print pages from this Site solely for your personal, non-commercial use in evaluating our services. You may not:

• Reproduce, republish, or redistribute our content in any medium without prior written permission.
• Remove or alter any copyright, trademark, or proprietary notice.
• Use our name, logo, or photography in a way that implies an endorsement or affiliation not authorized by us.

Workmanship and material warranties for actual exterior-services work are separate from these Terms. They arise only upon execution of a signed work order and are defined in that document and any accompanying manufacturer warranty documentation. Nothing on this Site creates, modifies, or extends a workmanship warranty.

Limitation of liability

To the fullest extent permitted by applicable Utah law, Black Canyon Exteriors, its owners, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Site, including but not limited to loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from your use of this Site is limited to the greater of:

• One hundred dollars (USD $100.00), or
• The amount you have actually paid us under the specific signed work order directly relating to the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full.

Indemnification

You agree to indemnify, defend, and hold harmless Black Canyon Exteriors, its owners, employees, agents, and successors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

• Your use of or access to the Site in violation of these Terms
• Any information you submit to the Site that is false, misleading, or violates the rights of any third party
• Your violation of any applicable law or regulation in connection with your use of the Site

Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles. Any legal action or proceeding arising from or relating to these Terms or your use of the Site must be brought exclusively in the state or federal courts located in Salt Lake County, Utah. You consent to the personal jurisdiction of those courts and waive any objection to venue in Salt Lake County.

Dispute resolution

Before initiating any formal legal proceeding, you agree to give us written notice of your claim and a 30-day period to attempt to resolve the dispute informally. Written notice should be sent to us via the contact page or by certified mail to our business address. If the dispute is not resolved within 30 days of that notice, either party may pursue its rights in the courts specified in the Governing Law section above.

These Terms do not require binding arbitration. If you have a dispute about a specific service project rather than Site use, the dispute-resolution process in your signed work order governs.

Changes to terms

We may update these Terms at any time by posting the revised version at this URL with an updated “Last updated” date. For material changes, we will make reasonable efforts to provide notice on the Site home page for 30 days. Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not accept the revised Terms, you must stop using the Site.

Severability and entire agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Black Canyon Exteriors with respect to your use of this Site, and supersede any prior agreements or understandings regarding that subject matter. These Terms do not govern, modify, or supersede any signed work order or service contract.
